Terms and Conditions
Last updated: 09/2026
These terms apply to all services provided by CRS Finance Solutions, a trading name of Chase Sharman, a sole trader based in England ("we", "us", "our"), to the business receiving those services ("you", "the client").
Please read them before accepting a proposal. They're written to be clear, not to catch anyone out.
1. How our agreement works
1.1 Every piece of work starts with a written proposal. The proposal sets out the scope, deliverables, timeline and price for that specific project.
1.2 When you accept a proposal (by signing it, confirming acceptance in writing, or paying the deposit), you agree to that proposal and to these terms. Together they form our contract ("the Agreement").
1.3 If anything in a proposal conflicts with these terms, the proposal takes priority for that project.
1.4 Our services are for businesses only. By accepting a proposal, you confirm you're acting for business purposes and not as a consumer.
1.5 The version of these terms that applies to a project is the version in place on the date you accepted the proposal. Later changes to this page don't affect work already agreed.
2. Scope of work
2.1 We'll deliver the work described in the proposal. That's the full scope. Anything not listed in the proposal is not included.
2.2 Unless the proposal says otherwise, the following are not included:
- ongoing support, monitoring or changes after the project closes (see section 7)
- training beyond the handover session described in the proposal
- fixing problems in systems or software we didn't build
- costs of third-party software, subscriptions, API usage or hosting
- data cleansing or migration, unless specifically listed
2.3 Our timelines are estimates based on you providing what we need on time (see section 4). We'll keep you updated if anything is likely to change.
3. Change requests
3.1 It's normal for ideas to develop once a project is underway. If you'd like to add to or change the agreed scope, let us know in writing.
3.2 We'll tell you whether the change affects the price or timeline. If it does, we'll send a short written change quote. The change only goes ahead once you approve it.
3.3 Small clarifications that don't add meaningful work are included. We'll decide in good faith what counts as a change, and we'll always tell you before charging for anything extra.
3.4 Approved changes may move the delivery date.
4. Your responsibilities
4.1 To keep the project on track, you agree to:
- give us access to the systems, accounts and information we need
- make a named person available to answer questions and give feedback
- respond to requests for information or feedback within 5 business days
- have the right to give us access to any systems and data you share
- keep your own software subscriptions active and paid
4.2 If we're waiting on you for more than 10 business days, we may pause the project and move it back in our schedule. If we're waiting for more than 30 days with no reply after we've chased you, we may treat the project as complete, invoice any remaining balance for work done, and close the project. Restarting later may be quoted as new work.
5. Payment
5.1 Unless the proposal says otherwise, project fees are paid as follows:
- 50% deposit before work starts
- 50% balance on delivery, before final handover
For larger projects, the proposal may split payment into milestones instead.
5.2 Invoices are due within 7 days of the invoice date.
5.3 Work starts once the deposit has cleared. Your project slot isn't reserved until then.
5.4 Prices are shown excluding VAT. If we become VAT registered, VAT will be added at the current rate.
5.5 If an invoice is overdue, we may:
- pause any work in progress, including maintenance, until it's paid
- charge interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998
5.6 Third-party costs (such as software subscriptions, AI or API usage fees, and hosting) are your responsibility. Wherever possible, these accounts will be set up in your name and billed to you directly.
6. Delivery, testing and acceptance
6.1 When the work is ready, we'll hand it over and show you how it works.
6.2 You then have 10 business days to test it and tell us in writing about anything that doesn't work as described in the proposal.
6.3 We'll fix any issue that falls within the agreed scope at no extra cost. Requests for new features or different behaviour are change requests (section 3), not fixes.
6.4 The work is accepted when you confirm it's accepted, or when the 10 business days pass without you reporting an issue, or when you start using it in your day-to-day operations, whichever happens first.
7. Aftercare and project close
7.1 After acceptance, you get 30 days of aftercare. During this period we'll fix any bugs or errors in the work we delivered, so it works as described in the proposal.
7.2 Aftercare does not cover:
- new features, changes or extra automations
- problems caused by changes you or anyone else make to the system
- problems caused by updates, outages or changes to third-party software, platforms or APIs
- changes to your processes, staff or data formats after delivery
- general IT support
7.3 At the end of the aftercare period, the project is closed. From that point, any further work, fixes, changes or support are provided either under a maintenance plan (section 8) or as a new, separately quoted piece of work.
8. Maintenance plans
8.1 We offer ongoing maintenance plans for clients who want continued support. The plan level, monthly fee and what's included will be set out in the proposal or a separate maintenance agreement.
8.2 Depending on the plan, maintenance may include:
- monitoring that your automations are running
- fixing breakages, including those caused by third-party changes
- small adjustments and improvements up to the monthly hours in your plan
- priority response to issues
8.3 Maintenance does not include building new automations or major changes. We'll quote for those separately, often at a discounted rate for maintenance clients.
8.4 Term and cancellation. Maintenance plans have a minimum term of 3 months. After that they continue month to month until either of us gives 30 days' written notice.
8.5 Billing. Maintenance is billed monthly in advance. Unused hours don't roll over to the next month. Work beyond the included hours will be agreed with you first and billed at our standard hourly rate.
8.6 Response times. We'll respond to issues within the times stated in your plan during business hours (9am to 5:30pm, Monday to Friday, excluding UK bank holidays). We don't provide 24/7 support unless your plan specifically says so.
8.7 We may change maintenance fees with at least 30 days' written notice. If you don't agree to the new fee, you can cancel before it takes effect, even during a minimum term.
8.8 If you don't have an active maintenance plan, we're under no obligation to fix issues or make changes after the aftercare period ends.
9. Refunds and cancellation
9.1 Deposits. The deposit covers planning, scheduling and the early stages of work, so it is non-refundable once work has started. If you cancel before any work has started, we'll refund the deposit in full.
9.2 If you cancel during a project, you'll pay for the work completed up to the date of cancellation, based on the proposal price and progress made. If you've paid more than that amount, we'll refund the difference. If less, we'll invoice the difference.
9.3 If we can't deliver. If we're unable to deliver the agreed scope for reasons within our control, we'll refund the fees paid for the parts we haven't delivered.
9.4 Completed work. Once work is accepted (section 6.4), fees are non-refundable. Issues with delivered work are handled through our testing and aftercare process.
9.5 Maintenance plans are not refundable for months already billed, but you can cancel for future months under section 8.4.
9.6 Because our services are for businesses only, the 14-day consumer cancellation period does not apply.
10. Ownership of the work
10.1 Once you've paid in full, you own the automations, workflows and configurations we built specifically for you.
10.2 We keep ownership of our own tools, templates, code libraries, methods and know-how that existed before the project or that aren't specific to your business. Where these are part of your deliverables, you get a permanent licence to use them within your business.
10.3 Until you've paid in full, you have a licence to use the work only for testing and evaluation.
10.4 We won't use your name or logo in marketing or case studies without your written permission.
11. AI and automation outputs
11.1 Our automations are designed to save time and reduce manual work. They can still make mistakes, especially where input data is unclear, incomplete or in an unexpected format, or where AI tools are involved.
11.2 You're responsible for checking outputs before relying on them, particularly for financial, tax, legal or client-facing decisions. You should keep appropriate human review in place.
11.3 We provide technical automation services only. We don't provide accounting, tax, legal or financial advice, and nothing we deliver should be treated as such.
12. Third-party software
12.1 Our work often relies on third-party software, platforms and AI providers. We don't control these services and aren't responsible for their outages, price changes, feature changes or data handling.
12.2 If a third-party change stops something working, fixing it is covered under a maintenance plan or can be quoted separately.
13. Confidentiality and data protection
13.1 We'll keep your business information confidential and only use it to deliver our services. You'll do the same with any confidential information about our business, pricing or methods.
13.2 Where we process personal data on your behalf, we act as your data processor and will do so under a Data Processing Agreement. See our Privacy Policy for how we handle data generally.
13.3 When our work together ends, we'll remove our access to your systems and delete your data as described in our Privacy Policy.
14. Liability
14.1 We'll carry out our work with reasonable skill and care.
14.2 Our total liability to you under or in connection with the Agreement is limited to the total fees you paid us in the 12 months before the claim arose.
14.3 We're not liable for any indirect or consequential loss, or for loss of profit, revenue, business, data or goodwill.
14.4 We're not liable for losses caused by third-party software, your failure to review outputs (section 11), your changes to the system, or information you gave us that was wrong or incomplete.
14.5 Nothing in these terms limits liability that can't legally be limited, such as liability for death or personal injury caused by negligence, or for fraud.
15. Ending the Agreement
15.1 Either of us can end the Agreement immediately by written notice if the other seriously breaches it and doesn't fix the breach within 14 days of being asked to.
15.2 We can end the Agreement immediately if an invoice is more than 30 days overdue.
15.3 If the Agreement ends, you'll pay for all work done up to that date. Sections 10 to 14 and 16 continue to apply after it ends.
16. General
16.1 Events outside our control. Neither of us is responsible for delays caused by events outside our reasonable control, such as illness, major outages or natural disasters. We'll keep each other informed.
16.2 Subcontractors. We may use trusted subcontractors to help deliver work. We remain responsible for their work.
16.3 Entire agreement. The proposal and these terms are the whole agreement between us for the project and replace any earlier discussions.
16.4 Changes to the Agreement. Any change to an accepted proposal must be agreed in writing by both of us. Email counts.
16.5 Disputes. If there's a problem, we'll both try to resolve it informally first.
16.6 Law. The Agreement is governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
